Structuring Services & Company Formation

The Right Structure, From the First Decision

Every enterprise begins with a choice: which entity, licensed how, domiciled where. We guide that decision and execute the formation end-to-end, so the foundation is right before anything else, tax, treasury, governance, is built on top of it.

Overview

What We Deliver

We assess the mandate's objectives, sector, ownership structure, and cross-border footprint to recommend the entity type that fits, rather than defaulting to the most familiar option. From there, we manage the full incorporation process: name reservation, constitutional documents, registered office and agent, and submission to the authorities.

Where a mandate requires more than one entity, such as holding companies, operating subsidiaries, or segregated cells, we design the full group structure as a coherent whole, not a series of disconnected incorporations. And where the mandate requires a regulated licence beyond standard incorporation, we coordinate formation and licensing from the outset.

On completion, we hand the structure into the appropriate ongoing service: Tax & Structuring, Treasury Management, or Board Governance, so nothing falls into a gap between formation and operation.

Key Features of Our Structuring & Formation Service

Entity Selection Advisory
We assess the mandate's objectives, sector, ownership structure, and cross-border footprint to recommend the entity type that fits, rather than defaulting to the most familiar option.
Incorporation & Registration
We manage the full incorporation process: name reservation, constitutional documents, registered office and agent, and submission to the authorities.
Ownership & Governance Structuring
We design the shareholding, directorship, and governance structure appropriate to the entity, coordinating with our Board Services, Governance & Legal team where ongoing governance support is required.
Multi-Entity & Group Structuring
For groups requiring more than one entity, such as holding companies, operating subsidiaries, or segregated cells, we design the full group structure as a coherent whole, not a series of disconnected incorporations.
Licensing Coordination
Where the mandate requires a regulated licence beyond standard incorporation, such as a Global Headquarters Administration Licence, a financial services licence, or a virtual asset licence, we coordinate formation and licensing from the outset.
Post-Formation Handover
On completion, we hand the structure into the appropriate ongoing service: Tax & Structuring, Treasury Management, or Board Governance, so nothing falls into a gap between formation and operation.

Process

How It Works

01
Objectives & Entity Assessment
We establish the mandate's commercial objectives, ownership requirements, and cross-border considerations, and assess which entity, or combination of entities, fits.
02
Structure Design
For multi-entity or group structures, we design the full structure, including holding layers, operating entities, and segregated cells, before incorporation begins.
03
Documentation & Submission
We prepare the constitutional documents and submit the incorporation application to the Registrar of Companies and, where applicable, the FSC.
04
Registered Office & Governance Set-Up
We establish the registered office and agent, and put in place initial governance: directors, company secretary, any required local presence.
05
Licensing (Where Applicable)
Where the entity requires a specific licence beyond standard incorporation, we manage that application in parallel, so formation and licensing complete together.
06
Handover to Ongoing Services
On formation, we transition the structure into the relevant ongoing service: tax structuring, treasury set-up, or board governance, with full continuity of the advisory relationship.

Common Questions

Frequently Asked Questions

It depends on the mandate: what the entity does, where its management and control sit, whether it needs access to Mauritius's tax treaty network, and whether it will hold a regulated licence. We assess this during entity selection rather than defaulting to whichever vehicle is fastest to form; the right decision made early avoids far more expensive restructuring later.
Each entity type carries a different balance of tax treatment, compliance requirements, and regulatory footprint: some are built for cross-border holding and treaty access, others for local operations, others for segregating multiple mandates within a single structure. We walk through the specific trade-offs relevant to your mandate before recommending one.
Yes. This is common for groups requiring a holding company, one or more operating subsidiaries, or a segregated-cell structure for multiple mandates. We design multi-entity structures as a coherent whole rather than forming entities individually, which avoids inconsistencies that are costly to unwind later.
It varies by entity type and complexity. A straightforward incorporation typically forms within a few weeks; structures requiring an additional FSC licence take longer, since incorporation and licensing run alongside each other. We provide a specific timeline once the entity type and structure are confirmed.
Formation is the starting point, not the end of the relationship. We hand the structure directly into the relevant ongoing service: Tax & Structuring, Treasury Management, or Board Governance, so there's continuity from formation into operation.
Yes, in some cases. Redomiciliation, migrating an existing company's registration into Mauritius, is a distinct process from new incorporation, covered under our Global Headquarters & Relocation Advisory service. We advise on which route fits the client's circumstances.
